Mutual Nondisclosure Agreement

Effective as of the date of last signature below.

This Mutual Nondisclosure Agreement (the “Agreement”) is entered into between Propper, Inc. and the counterparty identified in the signature block below (each a “Party”), to protect information exchanged while the Parties evaluate a business relationship (the “Purpose”).

1. Confidential Information. Information disclosed by either Party that is marked confidential or that a reasonable person would understand to be confidential, including business plans, product designs, pricing, and customer data.

2. Obligations. Each Party will use the other’s Confidential Information only for the Purpose, protect it with at least reasonable care, and disclose it only to personnel who need it and are bound by comparable obligations.

3. Exclusions. Information that is or becomes public through no fault of the recipient, was lawfully known before disclosure, is independently developed, or is rightfully received from a third party.

4. Term. This Agreement ends three (3) years from the Effective Date; obligations for Confidential Information disclosed during the term survive for three (3) years after disclosure.

5. General. No license is granted by disclosure. This Agreement is governed by the laws of the State of Washington. It may be executed electronically and in counterparts.
