This Statement of Work ("SOW") is entered into under, and is governed by and incorporates, the Master Services Agreement dated January 15, 2026 between Northwind Solutions LLC ("Provider") and Globex Inc. ("Client") (the "MSA"). Capitalized terms not defined here have the meanings given in the MSA. If this SOW conflicts with the MSA, the MSA controls unless this SOW expressly identifies the MSA section it overrides.

Scope

Implementation of the Globex customer document portal, including single sign-on (SSO) integration, migration of 10 legacy document templates, and administrator training.

Client Responsibilities

Provide an SSO identity-provider administrator and test accounts by March 6, 2026

Supply the 10 legacy templates and sample merge data by March 20, 2026

Name a project lead authorized to approve Deliverables

Provider is not responsible for delays caused by Client's failure to meet these responsibilities; affected dates and fees will be adjusted through Change Control.

Fees

Invoice Schedule: 25% on signing, 50% on acceptance of Template migration, 25% on acceptance of Admin training

Expenses: Reasonable, pre-approved travel expenses billed at cost, not to exceed $3,000 without Client's written approval

Payment: Invoices are payable as set out in the MSA.

Acceptance

Client has 15 days after delivery of each Deliverable to accept it in writing or to give a written rejection identifying the specific acceptance criteria not met. If Client rejects a Deliverable, Provider will correct the identified nonconformities and redeliver it within 10 days, and this acceptance procedure applies again. A Deliverable is deemed accepted if Client does not reject it within the acceptance window or uses it in production. If a redelivered Deliverable fails acceptance for the same nonconformity, Client may terminate this SOW as to that Deliverable on written notice and receive

Change Control

Either party may request a change to scope, schedule or fees in writing. Provider will respond within 5 business days with the expected impact on scope, schedule and fees. No change is binding until both parties sign a written change order, and Provider is not required to perform out-of-scope work without one.

The parties have executed this SOW under the MSA as of the date of the last signature below.
